End-User License Agreement (EULA)

This End-User License Agreement (“Agreement”) is a legally binding agreement between you (“User,” “you,” or “your”) and Bridgely Key Options, LLC, a Florida limited liability company (“Bridgely,” “we,” “us,” or “our”), governing your access to and use of our software applications, websites, and services, including any integrations with third-party platforms such as QuickBooks (collectively, the “Software”).

By accessing or using the Software, you agree to be bound by this Agreement. If you do not agree, do not use the Software.


1. License Grant

Subject to your compliance with this Agreement, Bridgely grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software solely for your internal business purposes.

No ownership rights are transferred to you under this Agreement.


2. Permitted Use

You may use the Software to:

  • Connect authorized third-party services (including QuickBooks)

  • View, synchronize, analyze, or export business, payroll, accounting, or related data

  • Perform lawful business operations consistent with the Software’s intended functionality


3. Restrictions

You agree not to:

  • Reverse engineer, decompile, or attempt to extract source code

  • Sell, sublicense, lease, or distribute the Software

  • Use the Software for unlawful, fraudulent, or deceptive purposes

  • Circumvent security or access controls

  • Access data you are not authorized to access


4. Third-Party Services (Including QuickBooks)

The Software may integrate with third-party services, including QuickBooks and other Intuit products.

You acknowledge and agree that:

  • Your use of QuickBooks is governed by Intuit’s terms and policies

  • Bridgely does not control or operate QuickBooks or other third-party services

  • Bridgely is not responsible for third-party service availability, accuracy, or changes

You authorize Bridgely to access and process data from connected third-party accounts only as permitted by you and only to provide the Software’s functionality.


5. Data Access and Privacy

By using the Software, you authorize Bridgely to:

  • Access, store, process, and transmit your data

  • Use your data solely to provide and improve the Software

  • Share data only as required by law or as described in our Privacy Policy

6. Ownership

All right, title, and interest in and to the Software, including all intellectual property rights, are owned by Bridgely or its licensors.

You retain ownership of your data.


7. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRIDGELY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY

  • FITNESS FOR A PARTICULAR PURPOSE

  • NON-INFRINGEMENT

  • ACCURACY OR RELIABILITY OF DATA

We do not guarantee uninterrupted or error-free operation.


8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRIDGELY SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES

  • LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION

IN NO EVENT SHALL BRIDGELY’S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU (IF ANY) TO BRIDGELY IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.


9. Indemnification

You agree to indemnify and hold harmless Bridgely from any claims, damages, losses, or expenses arising from:

  • Your misuse of the Software

  • Your violation of this Agreement

  • Your violation of applicable laws or third-party rights


10. Termination

This Agreement remains in effect until terminated.

Bridgely may suspend or terminate your access if you violate this Agreement. Upon termination, your license ends immediately.


11. Modifications

We may update this Agreement from time to time. Continued use of the Software after changes constitutes acceptance of the updated Agreement.


12. Governing Law

This Agreement is governed by the laws of the State of Florida, without regard to conflict-of-law principles.
